Welcome to DICEADS! These are the Terms and Conditions governing your participation in our affiliate and SMS marketing programs. By signing up for or using our services, you agree to these terms.

Affiliate Program Participation

As an affiliate marketer, you are authorized to promote our offers to your audience in exchange for commissions. The following guidelines apply:

• Affiliates must use the provided tracking links and banners for promotion.
• Commission payouts will be made based on the agreed-upon terms, and affiliates must meet the minimum payout threshold to receive compensation.
• Affiliates are prohibited from using deceptive or fraudulent tactics to promote offers.
• DICEADS reserves the right to terminate the agreement at any time if the affiliate violates these terms.

SMS Marketing Terms

Our SMS marketing program allows affiliates to send promotional messages via text to their subscribers. The following terms apply:

• SMS messages should only be sent to users who have explicitly opted in to receive marketing content.
• Affiliates must comply with all local regulations and guidelines related to SMS marketing, including opt-out mechanisms.
• Sending unsolicited messages or engaging in spamming practices is strictly prohibited.
• Failure to adhere to the rules may result in termination from the program.

Data Privacy

In order to comply with data protection laws such as GDPR and CCPA, we ensure that any personal data shared by affiliates, customers, or users is handled with care:

• We collect only necessary personal data and protect it with industry-standard security measures.
• Affiliates are required to obtain explicit consent from users before sending SMS marketing messages.
• Affiliates must not share or sell any user data obtained through our services without explicit consent.

Affiliate Terms

1. Definitions

The agreement provides definitions of important terms, such as Opt-in, User, Action, Advertiser, and others, establishing how terms will be used throughout the document.

2. Amendments

DICEADS has the right to update or amend the terms of the agreement and the Campaign Terms, which the Affiliate must stay updated on.

3. Affiliate Requirements

Affiliates are subject to review, must provide valid contact information, and must ensure that their websites are compliant with legal and ethical standards. Violating these standards could lead to termination from the network.

4. Affiliate Rules

The document outlines specific rules that Affiliates must follow, such as not engaging in deceptive advertising, not modifying ads without approval, and not using spam or fraudulent practices. Strict rules for email marketing and communications are also set out.

5. Advertising Services and Warranties

DICEADS provides ads to Affiliates, but it doesn't guarantee specific results (e.g., click-to-action conversion rates).

6. Commission Earnings and Payments

Affiliates are paid commissions based on actions performed by users, such as clicks or sales. Payments are made monthly or weekly, depending on conditions, and only after DICEADS receives payment from the Advertiser.

7. Referral Program

Affiliates can earn a 10% referral fee for referring new Affiliates to DICEADS. However, this program may be terminated at DICEADS’s discretion.

8. Representations and Warranties

Both parties confirm they have the authority to enter into the agreement and that no further representations are made outside of what is outlined in the document.

9. Non-Circumvention

Affiliates cannot recruit DICEADS's advertisers directly to avoid using the network.

10. Liability

DICEADS's liability is limited, and the affiliate is responsible for any legal issues arising from their advertising campaigns.

11. Indemnification

The Affiliate agrees to indemnify DICEADS against any legal liabilities or complaints arising from their activities.

12. Confidentiality

Affiliates must keep DICEADS’s confidential information private.

13. Force Majeure

Neither party is liable if they fail to perform obligations due to circumstances beyond their control, such as natural disasters.

14. Relationship

The agreement establishes the relationship as that of independent contractors, not partners or employees.

15. Remedies

DICEADS can withhold payments or take legal action against Affiliates who violate the agreement or commit fraud.

16. Termination

Either party may terminate the agreement, and DICEADS may do so immediately if the Affiliate breaches the terms.

17. Governing Law

The agreement is governed by the laws of Ontario, Canada, and disputes will be resolved in Ontario courts.
